1. Acceptance of Terms
By creating an account, signing in with Google, or using any part of the Claxus service, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree to these terms, please do not use our service.
2. Description of Service
Claxus provides a web-based platform that enables users to:
- Conduct AI-powered conversations using Anthropic's Claude API
- Create and edit rich text documents with collaborative AI features
- Integrate with Google Drive for optional document storage
- Manage multiple conversation threads with customizable system prompts
- Upload and share files within conversations
3. User Accounts and Authentication
3.1 Account Creation
To use Claxus, you must sign in using a valid Google account. By doing so, you represent and warrant that:
- You are at least 13 years of age
- You have the legal capacity to enter into these Terms
- All registration information you provide is accurate and current
- You will maintain the security of your account credentials
3.2 Account Security
You are responsible for all activities that occur under your account. You agree to:
- Notify us immediately of any unauthorized use of your account
- Not share your account access with others
- Use strong authentication practices
- Log out after each session on shared devices
4. API Keys and Third-Party Services
4.1 Anthropic API Keys
Claxus requires you to provide your own Anthropic API key to use AI conversation features. You acknowledge that:
- Your API key is stored locally in your browser's localStorage
- You are responsible for obtaining and maintaining your own API key
- API usage costs are billed directly by Anthropic to your account
- We are not responsible for API rate limits, costs, or service interruptions
- You must comply with Anthropic's Acceptable Use Policy
4.2 Google Services
When you use Google authentication or Google Drive integration, you agree to:
- Comply with Google's Terms of Service
- Grant Claxus only the permissions you explicitly authorize
- Understand that we access only files you choose to share with our app
5. Acceptable Use Policy
5.1 Permitted Uses
You may use Claxus for lawful purposes including:
- Personal productivity and document creation
- Professional work and collaboration
- Educational and research purposes
- Creative writing and content generation
5.2 Prohibited Activities
You agree NOT to use Claxus to:
- Violate any applicable laws or regulations
- Infringe intellectual property rights of others
- Generate or distribute malicious content (spam, malware, phishing)
- Harass, abuse, or harm others
- Impersonate any person or entity
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or disassemble any part of the service
- Use automated systems (bots, scrapers) without our express permission
- Generate content that violates Anthropic's Acceptable Use Policy
6. Content Ownership and Licensing
6.1 Your Content
You retain all ownership rights to content you create, upload, or store in Claxus. Since your data is stored locally in your browser:
- We do not claim ownership of your conversations, documents, or files
- You are responsible for maintaining backups of your content
- We cannot recover content deleted from your browser's localStorage
6.2 License to Operate the Service
To provide the service, you grant us a limited license to:
- Transmit your prompts to Anthropic's API for processing
- Access Google Drive files you explicitly choose to use with Claxus
- Temporarily process data in memory during active sessions
This license terminates when you delete content or close your session.
6.3 AI-Generated Content
Content generated by AI (Claude) through Claxus is subject to Anthropic's terms. You acknowledge that:
- AI-generated content may not be entirely original or accurate
- You are responsible for reviewing and verifying AI outputs
- You should not rely solely on AI-generated content for critical decisions
- Anthropic retains certain rights to AI-generated content as specified in their terms
7. Service Availability and Modifications
7.1 Service Availability
We strive to provide reliable service, but we do not guarantee uninterrupted access. Service may be unavailable due to:
- Scheduled maintenance
- Technical issues or system failures
- Third-party service outages (Anthropic API, Google services)
- Force majeure events
7.2 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any feature of Claxus
- Update these Terms & Conditions at any time
- Change pricing or introduce fees for previously free features (with notice)
- Limit storage, API usage, or other resource consumption
We will notify users of material changes via email or in-app notifications when possible.
8. Disclaimers and Limitations of Liability
8.1 "As-Is" Service
Claxus is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of accuracy, reliability, or completeness of AI-generated content
- Warranties of uninterrupted or error-free service
- Warranties regarding data security or loss prevention
8.2 Limitation of Liability
To the maximum extent permitted by law, Claxus and its developers shall not be liable for:
- Data Loss: Loss of conversations, documents, or files stored in localStorage
- API Costs: Anthropic API charges incurred through your usage
- Third-Party Services: Failures or issues with Google or Anthropic services
- Indirect Damages: Lost profits, business interruption, or consequential damages
- AI-Generated Content: Inaccuracies, errors, or harmful outputs from AI models
In no event shall our total liability exceed the amount you paid to use Claxus in the 12 months preceding the claim (currently $0 for free service).
8.3 User Responsibility
You acknowledge and agree that:
- You use Claxus at your own risk
- You are responsible for maintaining backups of important content
- You should not store sensitive or confidential information without appropriate safeguards
- You must verify AI-generated content before relying on it
9. Indemnification
You agree to indemnify, defend, and hold harmless Claxus, its developers, and affiliates from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the service
- Your violation of these Terms & Conditions
- Your violation of any third-party rights (intellectual property, privacy, etc.)
- Content you create, upload, or share through Claxus
- Your API usage or interactions with third-party services
10. Termination
10.1 Termination by You
You may stop using Claxus at any time by:
- Signing out and clearing your browser's localStorage
- Revoking Claxus's access in your Google Account permissions
- Contacting us to request account deletion
10.2 Termination by Us
We reserve the right to suspend or terminate your access to Claxus if:
- You violate these Terms & Conditions
- You engage in prohibited activities (see Section 5.2)
- Your account is inactive for an extended period
- We are required to do so by law or legal process
- We discontinue the service entirely
10.3 Effect of Termination
Upon termination:
- Your right to use Claxus immediately ceases
- Data stored in your browser's localStorage remains under your control
- We will delete any server-side authentication tokens
- Sections of these Terms that should survive (indemnification, liability limitations) will remain in effect
11. Intellectual Property
11.1 Claxus Intellectual Property
All intellectual property rights in the Claxus platform, including but not limited to:
- Source code, software architecture, and algorithms
- User interface design and layout
- Branding, logos, and trademarks
- Documentation and marketing materials
are owned by Claxus or its licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.
11.2 Open Source Components
Claxus may incorporate open-source software components, which are licensed under their respective open-source licenses. These licenses do not grant you additional rights beyond what is specified in these Terms.
12. Privacy and Data Protection
Your use of Claxus is also governed by our Privacy Policy, which explains:
- What information we collect
- How we store and protect your data
- Your rights regarding your personal information
- Third-party data sharing (Google, Anthropic)
By using Claxus, you consent to the data practices described in our Privacy Policy.
13. International Use and Governing Law
13.1 Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
13.2 International Users
Claxus is operated from the United States. If you access the service from outside the United States, you are responsible for compliance with local laws and regulations.
13.3 Dispute Resolution
Any disputes arising from these Terms or your use of Claxus shall be resolved through:
- Informal Resolution: Contact us first to attempt good-faith resolution
- Arbitration: If informal resolution fails, binding arbitration in accordance with the American Arbitration Association rules
- Class Action Waiver: You agree to resolve disputes individually, not as part of a class action
14. Miscellaneous
14.1 Entire Agreement
These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and Claxus regarding your use of the service.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
14.5 Changes to Terms
We reserve the right to update these Terms & Conditions at any time. Material changes will be communicated via:
- Email notification to your registered Google account
- In-app notification banner
- Updated "Last Updated" date at the top of this page
Continued use of Claxus after changes constitutes acceptance of the updated Terms.
